These terms and conditions apply to all products and services supplied by AoC Studio "Architects of Colors" to the customer.

AoC Studio "Architects of Colors" only undertakes work on the understanding that the customer has agreed that these terms and conditions apply to the contract.

AoC Studio "Architects of Colors" retains copyright on all design work including pictures, words and any illustrations and this copyright is retained both before and after all payment has been made by the customer unless copyright is specifically released by AoC Studio "Architects of Colors" in writing.

In the event of AoC Studio "Architects of Colors" producing a variety of designs to a customer, only one specific design will be incorporated into any contract between AoC Studio "Architects of Colors" and the customer who will each endorse the chosen design so as to identify the same.

AoC Studio "Architects of Colors" will provide the customer with a written estimate or quotation, a copy of which is to be signed and dated by the customer to indicate acceptance and returned to AoC Studio "Architects of Colors". No work on any project will be undertaken by AoC Studio "Architects of Colors" until the signed acceptance of estimate or quotation has been received by AoC Studio "Architects of Colors".

The charges for the services to be provided by AoC Studio "Architects of Colors" will be set out in the written estimate or quotation that is provided to the customer. On signed acceptance of this estimate or quotation being given by the customer, a non-refundable deposit of 50% of the quoted or estimated charge will be payable by the customer and AoC Studio "Architects of Colors" will not be required to commence any work on the project until it has received that deposit.

In the event of the customer requiring any additional services over and above that for which a quotation or estimate has been provided, AoC Studio "Architects of Colors" will provide to the customer an indication of the costs of that additional work which sum shall be paid by the customer to AoC Studio "Architects of Colors" by way of acceptance of that additional charge and AoC Studio "Architects of Colors" will not be required to undertake work on any such additional services until such time as that payment has been received.

AoC Studio "Architects of Colors" will submit an invoice in respect of all work undertaken by it on completion of the work and the customer is required to make payment of the full balance thereof within 30 day of invoice. Accounts which remain outstanding thereafter will incur an extra charge of 2% per month on any amount of the invoice which remains outstanding.

AoC Studio "Architects of Colors" does not accept payment by debit or credit card but only by cash, cheque, bank draft, CHAPS or BACS payments.

In the event of any cheque given by a customer in settlement of an invoice not being met on presentation, AoC Studio "Architects of Colors" will charge the customer an additional fee of € 30.00 for each returned cheque.

By the customer supplying to AoC Studio "Architects of Colors" any text, images or other data in connection with the services to be provided by AoC Studio "Architects of Colors", the customer declares that it holds the appropriate copyright and/or trademark permissions in respect of such text, images or other data. Ownership of such material will remain with the customer or the rightful owner of the copyright or trademark.

Any artwork, images or text designed and/or supplied by AoC Studio "Architects of Colors" on behalf of the customer will remain the property of AoC Studio "Architects of Colors".

The customer may request that AoC Studio "Architects of Colors" grant permission to use materials for which AoC Studio "Architects of Colors" holds copyright should the customer require that in forms other than for which it was originally supplied. AoC Studio "Architects of Colors" may grant such permission at its sole discretion and on such terms as it deems reasonable and such permission must be obtained in writing before any such materials are used in this way.

By supplying any images, text or other data to AoC Studio "Architects of Colors", the customer grants to AoC Studio "Architects of Colors", permission to use this material in any way that AoC Studio "Architects of Colors" deems appropriate in connection with the services to be provided by AoC Studio "Architects of Colors".

Any time estimate given by AoC Studio "Architects of Colors" to undertake the services for the customer is deemed to be an estimation of time only and in that regard, time will not be of the essence of the contract and AoC Studio "Architects of Colors" cannot be held responsible for any project overruns, whatever the cause and any estimated time for the provision of the services shall be deemed to be running from the date that AoC Studio "Architects of Colors" has cleared funds in respect of any deposit from the customer.

Completion of the design project by AoC Studio "Architects of Colors" will be deemed to have occurred on the customer providing a signed approval form in respect of the design work provided by AoC Studio "Architects of Colors". The customer agrees to allow AoC Studio "Architects of Colors" to place a small credit by way of a small logo or line of text on any printed material, exhibition displays or advertisements which utilised the design provided by AoC Studio "Architects of Colors".

AoC Studio "Architects of Colors" will not include in its designs any texts, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must confirm to all standards laid down by all relevant advertising standards authorities. AoC Studio "Architects of Colors" also reserves the right to refuse to include submitted material without giving any reason for so doing. In the event of any images and/or data that AoC Studio "Architects of Colors" does include in any design in good faith which is subsequently found to be in contravention of these terms and conditions then the customer is obliged to allow AoC Studio "Architects of Colors" to remove any such images or data without penalty and AoC Studio "Architects of Colors" is to be held in no way responsible for their inadvertent inclusion.

In the event of AoC Studio "Architects of Colors" or the customer supplying an image, text or any other material for use on a website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright and royalty free, which subsequently appears not to be the case or to be subject to copyright or royalty usage limitations, then the customer will agree to allow AoC Studio "Architects of Colors" to remove and/or replace such material and the customer agrees to fully indemnify AoC Studio "Architects of Colors" from any and all claims resulting from the customer in not having obtained all necessary copyright and/or any other necessary permissions.

The customer agrees that changes required over and above the estimated work or required to be carried out after acceptance of any draft design provided by AoC Studio "Architects of Colors" will be liable to a separate charge and the customer agrees that AoC Studio "Architects of Colors" will not be held responsible for any loss arising from any amendment made by any third party to any design provided by AoC Studio "Architects of Colors" before or after that design is published.

Any material created for the customer by AoC Studio "Architects of Colors" or any of its contractors is licensed for use by the customer on a one time only basis and may not be modified, reused or redistributed in any way or form without the express written consent of AoC Studio "Architects of Colors".

The customer agrees to AoC Studio "Architects of Colors" definition of acceptable means of supplying data to the customer. Text is to be supplied to AoC Studio "Architects of Colors" in electronic format as standard text (.txt) MS Word (.doc) on CD-Rom or via email. Images which are supplied in electronic format are to be provided in a format as prescribed by AoC Studio "Architects of Colors" via CD-Rom or email. Images must be of a quality suitable for use without any subsequent image processing and AoC Studio "Architects of Colors" will not be held responsible for any image quality which the customer later deems to be unacceptable. AoC Studio "Architects of Colors" cannot be held responsible for the quality of any images which the customer wishes to be scanned from printed materials. Additional expenses may be incurred for any necessary action including but not limited to photography and art direction, photography searches, media conversion, digital image processing or data entry services.

Cancellation of orders will be accepted by AoC Studio "Architects of Colors" if they are in writing and following receipt of any such cancellation, the customer will be invoiced for all work completed over and above the non-refundable deposit that will have been made at the time of first ordering. The balance of monies due must then be paid within 30 days of the date of such invoice and if payment is not made within that time then AoC Studio "Architects of Colors" is entitled to charge 2% per month interest on any outstanding balance.

AoC Studio "Architects of Colors" gives no warranties of any kind, express or implied for any and all products and/or services that it supplies. AoC Studio "Architects of Colors" will not be held responsible for any and all damages resulting from products and or services it supplies and will not be responsible for any loss or consequential loss of data or non-delivery of products or services of whatever cause.

AoC Studio "Architects of Colors" reserves the right to use the services of sub-contractors, agents and suppliers and any work, contents, services and usage is bound by their terms and conditions.

These terms and conditions supersede any previous terms and conditions distributed in any form by AoC Studio "Architects of Colors" who reserve the right to change any rates and any of the terms and conditions at any time and without prior notice.
